Application
These terms apply to every quotation, order confirmation and sale by Unmanned Electronic Innovation FZ-LLC ("Unmanned", "we") unless a signed supply agreement says otherwise. A buyer's own purchase conditions apply only if we accept them in writing. Placing an order means accepting these terms.
Quotations and orders
Quotations are valid for 14 days unless stated otherwise and are subject to stock availability and manufacturer confirmation. An order becomes binding when we issue a written order confirmation. We may decline an order, including where compliance screening is not satisfactory (see our Trade compliance statement).
The buyer is responsible for the accuracy of part numbers, model and serial numbers, specifications and quantities supplied to us. Where we propose an OEM-equivalent or alternative part, it is clearly marked as such in the quotation.
Prices and payment
Prices are in UAE dirhams or US dollars as stated, exclusive of VAT, customs duties and other charges unless the quotation says they are included. Payment terms are stated on the quotation; unless otherwise agreed, new accounts pay in advance and approved accounts pay within 30 days of invoice. Overdue amounts may carry interest at 1% per month and we may suspend deliveries while an account is overdue. Title to goods passes on full payment; risk passes on delivery.
Delivery
Lead times in quotations are estimates based on stock and manufacturer information at the time. Delivery terms follow Incoterms 2020; unless otherwise agreed, deliveries within the UAE are DAP to the address on the order and export shipments are FCA our warehouse. Partial deliveries are permitted and invoiced separately. The buyer must inspect goods on receipt and report shortages or transit damage in writing within 5 business days.
Warranty
Goods are supplied with the manufacturer's warranty where one exists. In addition, we warrant for 12 months from delivery that goods conform to the agreed specification and are free from defects in materials and workmanship. The warranty does not cover wear parts, consumables, damage from incorrect installation, misuse, unauthorised modification or operation outside rated conditions. Our obligation under the warranty is, at our choice, to repair, replace or refund the price of the defective item. Warranty claims require the invoice number and, for spare parts, the model and serial number of the appliance.
Returns
Stock items in unopened original packaging may be returned within 14 days of delivery with our prior written agreement and a returns reference; a restocking charge of up to 15% may apply. Items sourced to order, cut cable, software and items with broken security seals cannot be returned unless defective.
Liability
To the extent permitted by law, our total liability for any order is limited to the price paid for the goods concerned, and we are not liable for loss of profit, production, data or business, or for indirect or consequential loss. Nothing in these terms excludes liability that cannot be excluded under UAE law.
Export control and end use
Some goods, in particular wireless equipment, RF modules and test instruments, are subject to export-control, type-approval and licensing rules in the UAE and in the country of origin. The buyer confirms that goods will be used only for the stated end use and end user, will not be diverted to prohibited destinations or parties, and will not be used in connection with weapons of mass destruction. The buyer must provide end-use statements and documents we reasonably request. Delivery may be delayed or cancelled without liability where a required licence or approval is not obtained.
Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including manufacturer allocation, port congestion, carrier failure, government action, sanctions changes, epidemic or war. Affected delivery dates are extended by the period of the event.
Governing law and disputes
These terms are governed by the laws of the United Arab Emirates as applied in the free zone where Unmanned is licensed. Disputes are first referred to good-faith negotiation between senior representatives and, if unresolved within 30 days, to the competent courts of that jurisdiction, unless the parties agree in writing to arbitration.
